The ongoing saga surrounding the MMORPG Ashes of Creation, developed by Intrepid Studios under the leadership of founder and CEO Steven Sharif, has taken a tumultuous turn. Recent developments involve inflammatory accusations from investors Jason Caramanis and Robert Dawson, leading to serious legal actions that have muddied the waters of this promising title.
To recap, Caramanis has publicly leveled grave allegations against Sharif, ranging from fraud to embezzlement, asserting that Sharif will be facing several lawsuits, including one recently initiated by TFE Games Holdings. This lawsuit, lodged on February 9, 2026, in the Nevada District Court of Clark County, targets both Sharif and his spouse, John Moore. Just days ago, in a counter-move, Sharif filed a lawsuit in the Southern District of California against Dawson and others, though notably not against Caramanis. This counter-suit specifies TFE Games Holdings LLC as an entity created with the intention of acquiring and exploiting Intrepid Studios’ intellectual property.
The Unexpected Acquisition Offer
Among the most shocking disclosures from the recent counter-lawsuit is the revelation that a significant game development company expressed interest in acquiring Ashes of Creation. Allegedly, this company made an offer worth hundreds of millions of dollars, but it is claimed that Dawson pressured Sharif to reject the acquisition in favor of continuing the current funding. The identity of this prospective buyer remains undisclosed in legal documents; however, Jason Caramanis recently hinted at Riot Games being that company in an interview with NefasQS, a revelation that adds intrigue to the ongoing conflict.
Riot Games, while known for their flagship title League of Legends, has been developing their own MMORPG, which was rebooted in March 2024. However, tangible progress on that project has yet to surface. If true, Riot’s involvement could have fast-tracked Ashes of Creation to new heights.
Legal Maneuvering and Accusations
Sharif’s counter-lawsuit marks a critical juncture in their relationship, as it alleges that Dawson aimed to usurp control of the company following this deal’s decline. Sharif contends that Dawson’s ambitions disregarded the game’s quality and typical MMORPG development timelines.
The severity of Sharif’s allegations escalates dramatically from this point. He claims that from early 2023 to May 2024, Dawson intimidated Sharif by threatening to cut off payroll and health insurance, along with litigation threats aimed at crippling the company. The following examples illustrate Dawson’s alleged extortion:
- Dawson sought a 10% warrant of the company for a mere $10.
- He demanded non-dilutable equity options linked to his debt notes, free of charge.
- Dawson insisted on being included in all discussions with legal counsel, despite having no right to such access.
- He claimed to be an agent of the company to retain its legal representation.
As a result of these alleged threats, Sharif reported serious health issues, including a hypertensive crisis, acute kidney failure, and hospitalization.
The Fallout and Board Dynamics
According to the May 2024 Settlement Agreement, Dawson became the majority shareholder with a 58% stake in Intrepid Studios while Sharif maintained creative control. However, in a subsequent board meeting on September 4, 2024, Dawson was appointed Chairman, which he used to establish financial control over the company.
Sharif claims that he was systematically stripped of financial authority, losing access to Intrepid’s active bank accounts. By August 2025, additional members were added to the board, which Sharif contends acted at Dawson’s behest rather than as independent directors. He asserts that decisions made by the board, including the rushed early access launch of Ashes of Creation, were against the advice of key leadership, which had achieved a remarkable Day 30 retention rate of around 76% prior to board interference.
Disputes Over Financial Integrity
Allegations also arise regarding a loan taken from CommerceWest Bank, reinforced by assurances from Ryan Ogden, the newly appointed chief financial officer. A clash over financial integrity indicates that while funds were due from Steam for the game’s early access, they were allegedly diverted to cover other debts, which led to serious ramifications for the company. On February 3, 2026, Valve terminated Intrepid’s Steam partnership due to inconsistent banking requests and refund demands, freezing funds due to the company.
Legal Violations and Remedial Requests
Sharif’s counter-lawsuit enumerates several legal violations, such as:
- Defend Trade Secrets Act: Misappropriation of Intrepid’s intellectual property.
- California Uniform Trade Secrets Act: Similar claims under state law.
- California Commercial Code violations: Unlawful foreclosure practices.
- Breach of Fiduciary Duty: Board members alleged neglect of their duties.
- Aiding and Abetting: Targeting TFE for complicity in board violations.
- Corporate Waste: Reckless actions wasting corporate assets.
- Intentional Infliction of Emotional Distress: Claims of reputational and personal harm.
- Civil Conspiracy: Allegations of collaborative malfeasance among defendants.
The lawsuit seeks various remedies, including:
- Injunctions against misuse of trade secrets.
- Nullification of wrongful foreclosure actions.
- Compensation for damages.
- Disgorgement of profits.
- Removal of board members.
- Establishment of a constructive trust.
- Reimbursement of legal fees.
- Permanently ensuring against future misconduct.
In addition, Sharif actively participated in the online discussion surrounding these issues, stating:
My goal is maximum accountability. I am glad to see Jason commenting and sharing as much as he is, I think you are doing a great job with that @NefasQS, so thank you for that. It obviously would not make much sense for me to fight a battle in the court of public opinion, when the truth will come out obviously in court. Federal court is not like state court; there is a higher burden of factual proof required. I would not sign my name to that document if I was not certain of the truthfulness.
This situation is far from simple and as developments unfold, the implications for both Ashes of Creation and its stakeholders are significant. This legal battle will be closely monitored as it evolves.
